ORGANIZATIONAL SUMMARY:

The District of Columbia Housing Finance Agency (DCHFA) was established in 1979 to stimulate and expand home ownership and rental housing opportunities in Washington, D.C. Through our Multifamily Lending and Neighborhood Investments business unit, we provide financing that lowers the cost of acquiring, constructing and rehabilitating rental housing and that  facilitates the creation of low and moderately priced for- sale housing. Our Single Family Programs offer DC residents competitive products that help lower the homebuyer's cost of purchasing homes. Our financing tools are primarily funded through the issuance of taxable and tax exempt mortgage revenue bonds.  We embrace our responsibility with conviction and pledge our best efforts to serve as the City's champion for renters and homeowner to act as the City's principal catalyst for affordable housing neighborhood investment.

The District of Columbia (DC) Housing Finance Agency is seeking qualified candidates for the position of Assistant General Counsel in the Office of the General Counsel. 

POSITION SUMMARY:

The Office of the General Counsel (OGC) supports the dynamic environment of the Agency and its mission by creatively solving legal problems, facilitating transactions, and providing advice and counsel to foster sound decision-making.  In serving the Agency's interests, the OGC pursues excellence in the quality of client service and maintains the highest standards of professional ethics and integrity.

 

The Assistant General Counsel is responsible for providing legal counsel and support services in a range of general and specialized areas that affect the policies and programs of the Agency. The legal aspects of the Agency's operations and business decisions include; tax-exempt and taxable bond transactions, other types of multifamily and single family loans and neighborhood investments, contracts, and Freedom of Information Act (FOIA) requests.                                                                                                     

ESSENTIAL DUTES & RESPONSIBILITIES

  • Provide advice and support services to the, Executive Director/CEO and business units in connection with the Agency's programs, activities and functions
  • Coordinate and manage outside counsel as directed by the General Counsel
  • Negotiate on behalf of the Agency on all agreements and opinions necessary to ensure that the interests of the Agency are protected
  • Provide advice and support to the Secretary to the Agency's Board of Directors, including preparing Board agendas and resolutions and taking the minutes at Board meetings
  • Provide advice and guidance to the Board of Director's and their attorney on the Agency's statutes, regulations, and operations
  • Provide guidance in the structuring, negotiation and execution of Agency loan transactions
  • Review and supervise the production of transaction documents including the following: preliminary and final offering documents, indentures, resolutions, supplemental indentures, supplemental resolutions, regulatory agreements, loan agreements, financing agreements, financing and regulatory agreements, declaration of covenants, commitment letters, notes, subordinate loan documents, intercreditor agreements, deeds of trust or other mortgage instruments, financing statements, legal opinions and closing certificates.
  • Review, comment and advise the Executive Director/CEO and Agency business units on amendments to the Agency's statutes, regulations and procedural manuals and all other local and federal proposed and final laws, rules and regulations that related to the Agency and its operations
  • Advise the Executive Director/CEO and the Agency's divisions on the development and creation of new products and programs
  • Assist in obtaining required local and federal government approvals
  • Draft legislation related to the Agency's authority
  • Review requests for proposals (RFPs) and advertisements to ensure compliance with internal procurement guidelines and local law
  • Review incoming multifamily applications on behalf of the legal department as requested by the General Counsel
  • Prepare notices to the Council of the District of Columbia of Board's approval of all Eligibility Resolutions
  • Conduct TEFRA Hearings for all bond transactions; Multifamily and Single Family
  • Notify Mayor and the City Council of the Agency's intent to adopt Final Bond Resolutions for all bond transactions
  • Draft and edit handbooks, guidelines, and manuals as necessary to help guide compliance with bond documents, federal laws and regulations, and Agency policies and procedures
  • Review and prepare responses to Freedom of Information Act (FOIA) requests as needed
  • Conduct legal research and draft legal memorandas as needed
  • Review and draft loan and equity investment documentation as needed
  • Negotiate on behalf of the Agency in agreements and provide opinions necessary to ensure that the interests of the Agency are protected
  • Performs other duties as assigned

 

KNOWLEDGE AND QUALIFICATIONS:

  • Juris Doctor Degree is required
  • Be an active member in good standing of the bar of any jurisdiction
  • If not a member of District of Columbia bar, you must be sworn into the DC Bar within 365 days of your initial hire
  • Seven (7) years as a practicing attorney
  • Five (5+) years of experience in real estate, planning, real estate development, and finance
  •  Knowledge of corporate law, real estate law, tax law, finance, community development, and local and federal housing programs (including CDBG and HOME programs).
  • Understanding of federal, local, municipal codes, regulations; contract law; and business entity structure
  • Experience in litigation is a plus
  • Must possess strong skills in legal research
  • Must possess excellent communication skills; both verbal and written with the ability to make presentations and negotiate effectively
  • Must be able to successfully and autonomously mange projects of a varied and complex nature
